Terms of Service

The agreement between you and Diurnly. Please read these terms carefully — they govern your use of our scheduling platform and all related services.

1. Acceptance of Terms

By creating a Diurnly account, accessing our website, or using any Diurnly service, you confirm that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must not create an account or use our services.

2. Eligibility

You must be at least 16 years of age to use Diurnly. By registering an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement. Organizations using Diurnly warrant that the individual registering the account is authorized to do so on the organization's behalf.

3. Your Account & Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete information when creating your account and booking profile.
  • Notify us immediately of any unauthorized use of your account or any other security breach.
  • Keep your password secure and not share it with third parties.
  • Be responsible for all content published on your public booking page, including event descriptions, pricing, and availability.

4. Acceptable Use

You agree not to misuse Diurnly or help anyone else do so. Specifically, you will not:

  • Use Diurnly to send spam, unsolicited commercial messages, or abusive communications.
  • Attempt to access, tamper with, or disrupt the service, its servers, or other users' accounts.
  • Reverse engineer, decompile, or disassemble any part of the platform.
  • Use the service for any illegal, fraudulent, or harmful purpose.
  • Scrape or harvest data from other users' public booking pages without their consent.
  • Upload or distribute malware, viruses, or any other malicious code.

5. Bookings & Payments

Diurnly facilitates scheduling between hosts and their invitees. When a paid event type is booked, payment is processed securely through Stripe. Hosts are responsible for setting accurate pricing, availability, and event descriptions. Diurnly is not a party to the meetings scheduled through the platform and is not liable for the conduct of meeting participants. Refunds for paid events are subject to the host's cancellation policy displayed at the time of booking.

6. Subscription Plans & Billing

Paid subscription plans (Professional, Teams, Enterprise) are billed on a recurring basis through Stripe. You may cancel your subscription at any time from your billing settings; access continues until the end of the current billing period. We reserve the right to change pricing with reasonable advance notice. Downgrades take effect at the end of the current billing cycle. Unused AI credits or meeting quotas do not roll over to the next cycle.

7. Intellectual Property

Diurnly and its original content, features, and functionality — including the Diurnly name, logo, and software — are owned by Infiniteenth Inc. and protected by international copyright, trademark, and other intellectual property laws. Your booking page content, branding, and event types remain your property. You grant Diurnly a limited license to host and display that content as necessary to operate the service.

8. Data & Privacy

We handle your personal data and calendar information in accordance with our Privacy Policy. Calendar data synced via Google Calendar is used solely to detect busy times and is never shared with third parties. You may disconnect calendar sync at any time, after which all synced busy-time data is permanently deleted within 24 hours.

9. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for downtime caused by factors beyond our control, including third-party provider outages, network failures, or scheduled maintenance. Real-time service status is published at our Status page. We reserve the right to temporarily suspend the service for maintenance with reasonable notice.

10. Disclaimer & Limitation of Liability

Diurnly is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, Infiniteenth Inc. shall not be liable for any indirect, incidental, special, or consequential damages — including loss of profits, data, or business opportunities — arising from your use of, or inability to use, the service. Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Account Termination

You may delete your account at any time from Settings → Danger Zone. We reserve the right to suspend or terminate accounts that violate these Terms or pose a risk to the platform or other users. Upon termination, your data is retained for 30 days then permanently deleted unless retention is required by law.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or legal requirements. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of Diurnly after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the service will be resolved in the courts located in Delaware. We will seek to resolve disputes informally first, and you agree to participate in good-fault mediation before initiating litigation.
